By accessing or using the website located at www.jtechbd.net ("Website") or by engaging any services provided by Jahid Babu Tech ("we," "us," or "our"), you ("Client," "User," or "you") confirm that you have read, understood, and agree to be bound by these Terms of Service ("Terms").

If you are using our services on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms. If you do not agree to these Terms, please discontinue use of our Website and services immediately.

Jahid Babu Tech provides a range of professional technology services including, but not limited to:

• Custom web design and front-end development
• Back-end development using PHP, Laravel, and related frameworks
• Full-stack software development and system architecture
• MySQL database design, optimization, and management
• Deployment, cloud hosting setup, and DevOps consulting
• UI/UX design and graphic design (including Photoshop work)
• SEO optimization and technical website audits
• Ongoing maintenance, support, and consulting services

We reserve the right to modify, suspend, or discontinue any service at any time with reasonable notice to affected clients. Scope and deliverables for project-based engagements will be defined in a separate project agreement or proposal.

You agree to use our Website and services only for lawful purposes and in a manner consistent with all applicable local, national, and international laws and regulations. You must not:

• Use our services to develop, promote, or distribute illegal, harmful, or fraudulent content
• Attempt to gain unauthorized access to our systems, servers, or data
• Interfere with or disrupt the integrity, performance, or availability of our Website or services
• Use our services to send unsolicited commercial communications (spam)

Client-commissioned work: Upon full receipt of payment for a project, the client receives a license to use the final deliverables for their intended purpose. Unless explicitly agreed in writing, Jahid Babu Tech retains the right to display completed work in our portfolio.

Third-party assets: Any third-party libraries, fonts, icons, or frameworks incorporated into your project are subject to their respective licenses. It is the client's responsibility to ensure their intended use is compliant with those licenses.

Pre-existing work: Any code, tools, templates, or methodologies developed by Jahid Babu Tech prior to a client engagement remain the exclusive property of Jahid Babu Tech.

Payment terms are outlined in each individual project proposal or service agreement. General terms include:

• Deposits: A non-refundable deposit (typically 30–50% of the project total) is required before work begins on any project.
• Milestone payments: For larger projects, payments may be structured around agreed milestones. Work on subsequent phases will only begin upon receipt of the prior milestone payment.
• Final payment: The remaining balance is due upon project completion and before final files or credentials are transferred to the client.
• Late payments: Invoices unpaid beyond the agreed due date may incur a late fee of 2% per month on the outstanding balance.
• Currency: All invoices are issued in BDT (Bangladeshi Taka) or USD as agreed. Bank transfer and mobile banking (bKash, Nagad) are accepted.

We understand that clients may share sensitive business information during the course of an engagement. We treat all non-public information shared with us as confidential and will not disclose it to third parties without your prior written consent, except as required by law.

Similarly, clients agree to treat any proprietary methodologies, pricing structures, or internal processes of Jahid Babu Tech as confidential.

A formal Non-Disclosure Agreement (NDA) can be executed upon request for engagements involving particularly sensitive data or systems.

To the fullest extent permitted by applicable law, Jahid Babu Tech shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to:

• Your use of, or inability to use, our Website or services
• Any errors or omissions in deliverables
• Loss of data, revenue, business, or goodwill
• Unauthorized access to or alteration of your data or transmissions
• Actions of third-party service providers (hosting, payment processors, APIs)

Our total aggregate liability to any client for any claim arising out of or related to our services shall not exceed the total fees paid by that client in the three (3) months preceding the claim.

Our Website and services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not guarantee that our Website will be error-free, uninterrupted, or free of viruses or other harmful components. We make no warranty regarding the accuracy, completeness, or reliability of any content on this Website.

Post-launch bug fixes for issues directly caused by our development work are covered within a 30-day warranty period at no charge. Issues arising from client modifications, third-party integrations, or hosting environment changes are outside this warranty.

Either party may terminate an ongoing service engagement by providing 14 days' written notice to the other party, unless a specific project agreement stipulates different terms.

We reserve the right to terminate or suspend access to our services immediately and without notice if a client:

• Breaches any provision of these Terms
• Fails to make payment in accordance with the agreed schedule
• Engages in abusive, threatening, or unlawful conduct toward our team

Upon termination, all outstanding invoices become immediately due. Delivered work may be retained by the client only upon full payment. Unpaid deliverables remain the property of Jahid Babu Tech.

These Terms shall be governed by and construed in accordance with the laws of the People's Republic of Bangladesh, without regard to its conflict of law provisions.

Any disputes arising out of or in connection with these Terms or our services shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be subject to the exclusive jurisdiction of the courts located in Rangpur, Bangladesh.

For international clients, while Bangladeshi law governs this agreement, we are committed to equitable and professional resolution of any disputes.

We reserve the right to update or modify these Terms at any time. When we make material changes, we will update the "Last Updated" date at the top of this page. For significant changes, we may also send an email notification to active clients.

Your continued use of our Website or services after any changes constitutes your acceptance of the revised Terms. We encourage you to review this page periodically to stay informed.

If you disagree with any modified Terms, your sole remedy is to discontinue use of our services and notify us in writing of the termination of any active engagement.
